Enersize decides on issuance of warrants of series 1/2019

English Translation of previously distributed regulatory information: As previously announced, Enersize Oyj (”Enersize”) will, as part of its financing agreement with Formue Nord Fokus A/S (”Formue Nord”), issue warrants of series 1/2019. The Board of Directors has therefore today, on March 6, 2019, supported by authorization from the Extraordinary General Meeting on November 28, 2018, decided to issue 44,229,680 warrants partly to Formue Nord and partly to Enersize’s current shareholders. Below, the company presents a timeline for the issuance of warrants, which are intended to be traded on Nasdaq Stockholm First North.

A total of 44,229,680 warrants of series 1/2019 will be issued. A total of 29,229,680 warrants will be issued to those parties who are shareholders at the record date March 8, 2019, whereby shareholders are entitled to one (1) warrant for each existing share on the record date. A total of 15,000,000 warrants are issued to Formue Nord in accordance with the financing agreement.

Below is a timetable and brief information on warrants of series 1/2019:

  •  Record date for receiving warrants: March 8, 2019
  •  Warrants are registered in the trade register: March 8, 2019
  •  Distribution of warrants is expected to begin provisionally: March 11, 2019, delivery to the respective custodian is expected to take place shortly thereafter.
  •  Preliminary first trading day for warrants on Nasdaq Stockholm First North: March 14, 2019.
  •  The warrants will be traded with ISIN code FI4000359641
  •  The warrants are expected to be admitted to trading under the ticker "ENERS TO 1"

The most significant terms and conditions for warrants of series 1/2019 are presented below:

Four (4) warrants entitle to subscription of one (1) new share at an exercise price of SEK 4 per share or equivalent amount in EUR. In total, a maximum of 11,057,420 shares can be issued by utilizing warrants of series 1/2019. The warrants have a term of three years from issuance and can be utilized twice a year, partly during the period 1 April – 30 April and partly during the period 1 October – 31 October. The last utilizing period is 30 days before the warrants expire, thus February 6 – March 8, 2022.
