Enersize signs loan agreement – expanding the new SaaS-business model

Enersize Oyj (”Enersize” or the ”Company”) has today entered into an agreement regarding a credit facility of in total SEJ 8,4 million with a smaller group of investors. The credit facility provides an opportunity for the board of directors to actively evaluate different alternatives for the Company’s long-term financing and also enables expansion of the new SaaS-business model.

The credit facility, amounting to SEK 8.4 million in tranches of SEK 4.4 and 4 million, has been provided by three lenders in union: Modelio Equity AB, Gerhard Dal, and Per Nilsson (the “Lenders”). The Company will initially draw the first tranche for SEK 4.4 million. The interest rate has been set in accordance with market conditions and applies to the outstanding debt, which can be extended until December 31, 2021. The Company may repay the credit in advance, in part or in full, along with any incurred interest. In addition, the Lenders have the right to participate in upcoming potential share issues in the Company. As previously communicated, published on March 15, 2021, the board of directors is currently working on performing one or more directed share issues, and discussions with investors are ongoing.

Change in the number of shares in Enersize Oyj

In connection with the recently completed fully guaranteed rights issue, Enersize Oyj (“Enersize” or the “Company”) entered into guarantee agreements with a number of qualified investors. Two of the guarantors have now chosen to receive the guarantee compensation in the form of newly issued shares. The Board has, with the support of the authorization from the Extraordinary General Meeting on November 5, 2021, decided on a directed issue of a total of 4,999,999 shares in the Company, and the subscription price has been set at SEK 0.12.

Enersize Oyj announces final outcome of the rights issue

The rights issue in Enersize Oyj (“Enersize” or the “Company”), which was resolved at the Extraordinary General Meeting of Enersize on 5 November 2021 (the “Rights Issue”), was subscribed to 100 percent, corresponding to approximately SEK 14 million. In total, 116,886,926 shares were subscribed for, of which 59,856,938 with preferential rights, 20,416,719 without preferential rights and 36,613,269 within the framework of the procured consortium of underwriters. In addition, the Company will receive approximately SEK 14 million through the directed issue, which was resolved at the Extraordinary General meeting on 5 November 2021 (the “Directed Issue”), resulting in the Company receiving a total of approximately SEK 28 million before issuance costs.

Enersize Oyj publishes information memorandum regarding the rights issue

Enersize Oyj (”Enersize” or the “Company”) today publishes an information memorandum by reason of the rights issue of shares resolved by the Extraordinary General Meeting of Enersize on 5 November 2021, in accordance with the proposal of the Board of Directors (the “Rights Issue”). Upon full subscription in the Rights Issue, the Company will receive approximately SEK 14 million before issue costs. The Rights Issue is secured through underwriting commitments corresponding to 100 percent of the maximum issue volume. Enersize also carries out a directed share issue of approximately SEK 14 million to ten qualified investors.
