Enersize tecknar avsiktsförklaring angående omvänt förvärv med TeraFactory

Styrelsen för Enersize Oyj (“Enersize” eller “Bolaget”) meddelar att den har tecknat en avsiktsförklaring (“LoI”) med Finnish Batteries Oy (som avses döpas om till “TeraFactory”) som ett steg mot att effektivisera företagsstrukturen . LoI avser en övervägd transaktion (“Transaktionen”) mellan Enersize och TeraFactory (gemensamt kallad ”Parterna”) och inkluderar ett omvänt förvärv av Enersize, överföring av Enersize verksamhet till det svenska dotterbolaget (”Enersize Sverige”) och senare distribution av Enersize aktier till aktieägarna. Transaktionen inkluderar vidare omnotering av Enersize, sedan Bolaget bytt namn till TeraFactory Oyj, på Nasdaq First North Growth Market Stockholm, samt omnotering av Enersize Sverige. Förutsatt att Transaktionen slutförs kommer Enersize aktieägare att äga 100% av Enersize Sverige och cirka 10% av TeraFactory.

The Board of Enersize Oyj (“Enersize” or the “Company”) announces that it has signed a Letter of Intent (“the LoI”) with Finnish Batteries Oy (to be renamed “TeraFactory”) as a step towards streamlining the company structure. The LoI is regarding a contemplated transaction (“the Transaction”) between Enersize and TeraFactory (jointly referred to as “the Parties”) and includes a reverse takeover of Enersize, transfer of Enersize’s business to Swedish subsidiary (“Enersize Sweden”) and the subsequent distribution of Enersize shares to the shareholders. The Transaction further includes the re-listing of Enersize, then renamed TeraFactory Oyj, on Nasdaq First North Growth Market Stockholm, as well as the re-listing of Enersize Sweden. Provided that the Transaction is completed, Enersize shareholders will own 100% of Enersize Sweden and about 10% of TeraFactory.
